Terms and Conditions for Decor Assignment
Please read the following terms and conditions carefully before proceeding:
1. Agreement: By engaging our decor services, you agree to be bound by these terms and conditions.

2. Scope of Work

2.1 The scope of work shall be strictly limited to the services, deliverables, quantities, specifications, timelines, and pricing explicitly mentioned in the final written quotation, proposal, or agreement shared by Shree Siddhi Florals and accepted by the client.

2.2 Any visuals, references, mood boards, or discussions shared prior to final confirmation are indicative only and shall not be considered binding unless specifically incorporated into the final agreed document.

2.3 Any additions, alterations, or deviations from the agreed scope shall be treated as out-of-scope work and shall be executed only upon:
(a) written approval from the client, and
(b) mutual agreement on revised timelines and additional costs.

2.4 Shree Siddhi Florals shall not be responsible for services, materials, or expectations not expressly stated in the agreed scope of work.

3. Booking, Payments & Cancellations (Event & Decor Services)
3.1 A booking shall be considered confirmed only upon written confirmation and receipt of advance payment.
3.2 A minimum of 50% of the total estimated project value must be paid as advance at least 14 (fourteen) days prior to the event date.

3.3 The remaining 50% balance amount must be paid in full before handover of the site, which shall mean completion of installation and execution at the venue.
3.4 No execution or installation shall commence unless the applicable payment milestone has been cleared.
3.5 In the event of cancellation:
3.5.1No refunds shall be applicable for cancellations made within 14 (fourteen) days prior to the event date, irrespective of reason.
3.5.2For cancellations made earlier than 14 days, the refundable amount, if any, shall be internally calculated and determined solely by Shree Siddhi Florals based on:
(a) work already completed
(b) materials procured
(c) vendor commitments
(d) manpower, logistics, and design costs incurred
3.6 The client expressly agrees that the refund calculation shall be final and binding, and no disputes shall be raised regarding the methodology or amount determined.
3.7 All advances are partially or fully non-refundable, depending on the stage of work and expenses incurred at the time of cancellation.

4. Intellectual Property
4.1 All designs, concepts, layouts, drawings, styling ideas, methodologies, and materials created or provided by Shree Siddhi Florals shall remain the exclusive intellectual property of Shree Siddhi Florals, unless expressly agreed otherwise in writing.
4.2 The client shall not reproduce, replicate, modify, share, distribute, or permit third parties to use any such intellectual property, in whole or in part, without prior written consent.
4.3 Any unauthorized use of intellectual property may result in legal action and/or claims for damages.
5. Media, Photography & Documentation Restrictions
5.1 The process of work, including but not limited to design development, behind-the-scenes activities, setup, material handling, execution stages, manpower, and working methods, shall not be photographed or recorded in any form without prior written consent.
5.2 This restriction applies to the client, guests, photographers, videographers, venue staff, and any third-party vendors engaged by the client.
5.3 Only the final decor output may be photographed, unless otherwise approved in writing.
6. Client Responsibilities
6.1 The client shall provide timely access to the venue, including all necessary permissions, approvals, and coordination required for smooth execution.
6.2 The client shall ensure that all information, specifications, measurements, and requirements provided are accurate and communicated within agreed timelines.
6.3 Failure to provide access or accurate information may result in delays, additional costs, or compromised execution, for which Shree Siddhi Florals shall not be held liable.
7. Liability
7.1 Shree Siddhi Florals shall exercise reasonable care, skill, and professional diligence in providing the agreed services.
7.2 Shree Siddhi Florals shall not be liable for any loss, damage, or injury arising directly or indirectly from the decor services, except where such loss is proven to be a direct result of gross negligence on our part.
7.3 We shall not be responsible for damage caused due to weather conditions, venue limitations, guest actions, or third-party interference.
8. Force Majeure
8.1 Neither party shall be held liable for delay or failure to perform obligations due to events beyond reasonable control, including but not limited to:
(a) Acts of God
(b) Natural disasters (earthquakes, floods, cyclones, storms)
(c) Government orders, restrictions, or shutdowns
(d) Riots, civil unrest, terrorism
(e) Fire, power failure, or adverse weather conditions

8.2 In such events, obligations shall be suspended for the duration of the force majeure circumstance without liability.
9. Termination
9.1 Either party may terminate the agreement by written notice if the other party materially breaches the agreement and fails to rectify such breach within a reasonable period after notice.
9.2 Termination shall not relieve the client of the obligation to pay for services rendered, work completed, or costs incurred up to the termination date.
10. Governing Law & Jurisdiction
10.1 These Terms & Conditions shall be governed by and construed in accordance with the laws of India.
10.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
